LGJI will be governed by a Board of Directors comprised of individuals with expertise in international law, governance, journalism, and human rights, people with backgrounds in medical sciences, technology, and development. The day-to-day operations will be managed by an Executive Director based in the United States, supported by a team of professionals in both the U.S. and Liberia, including a Liberia Country Director.
- Board of Directors: A diverse group of experts who will provide strategic direction and oversight.
- Executive Director: Responsible for leading the organization, developing partnerships, and ensuring that the organization’s mission is effectively carried out.
- Advisory Committees: Specialized committees focusing on governance, legal affairs, human rights, medicine (and science/technology), peace-building initiatives, and international relations.
The Board of Directors shall consist of a diverse group of experts with expertise in international law, governance, human rights, and development. The Board shall have a minimum of [five] members and a maximum of [fifteen] members.

Responsibilities
The Board of Directors shall provide strategic direction, oversight, and governance of LGJI. The Board is responsible for approving the organization’s budget, major policies, and any significant organizational changes.

Election and Term
Board members shall be elected by the membership at the annual general meeting. Each board member shall serve a term of [three] years and may be re-elected for consecutive terms.

Meetings
The Board of Directors shall meet at least quarterly, with one meeting designated as the annual general meeting. Special meetings may be called by the Chair or by a majority of Board members.

Quorum
A quorum shall consist of a majority of the Board members present at any given meeting.

Compensation
Board members shall serve without compensation but may be reimbursed for reasonable expenses incurred in the course of their duties.

Executive Director
The LGJI Executive Director shall be appointed by the Board of Directors. As the Chief Executive Officer of LGJI, the Executive Director is responsible for leading the organization, developing partnerships, and ensuring the effective implementation of LGJI’s mission. The Executive Director shall report to the Board of Directors.

Staff
The Executive Director may hire and manage staff necessary to carry out the day-to-day operations of LGJI. Staff may be based in the U.S. and Liberia as required by the organization’s objectives. The Executive shall vet, recruit and recommend for hiring, a Liberia Country Director (LCD) of LGJI, upon the unanimous approval of the Board of Director.

Committees
The Board may establish advisory committees focusing on specific areas such as governance, legal affairs, human rights, and international relations to support the work of the Executive Director.
